This Affiliate Program Agreement (“Agreement”) is between SEO Danmark ApS, C. A. Olesens Gade 4, st., 9000 Aalborg, Denmark, VAT DK40489029 (“we”, “us”, “the Company”), operator of SomePoster (someposter.ai), and you (“Affiliate”, “you”).
By applying to or participating in the SomePoster Affiliate Program (“Program”), you agree to this Agreement. This Agreement is a separate arrangement that sits alongside our Terms of Service and Privacy Policy, which also apply to you. If you do not agree, do not join the Program.
1. The Program
The Program lets approved Affiliates earn commission for referring new paying customers to SomePoster. We track referrals and calculate and pay commissions through our affiliate platform provider, Affonso.
Participation is by approval only. We may approve or decline any application at our discretion, and we may remove any Affiliate from the Program at any time as set out in this Agreement.
2. Becoming an Affiliate
To participate you must:
- Provide accurate, complete registration information and keep it current.
- Be legally able to enter into this Agreement.
- Have your own valid means of receiving payment (e.g. PayPal or bank account) and provide any tax or invoicing information we or our payment provider reasonably require.
You are responsible for any taxes due on commissions you earn. Where required, you must provide a valid invoice or accept self-billing invoices generated by our platform.
3. Your Referral Link
On approval you receive a unique referral link. A referral is attributed to you when a new customer arrives through your link and a tracking cookie is set on their device. The attribution window (cookie duration) is 30 days from the click. If the customer purchases within that window, the sale is attributed to you, subject to the rest of this Agreement.
You may share your referral link on websites, blogs, newsletters, videos, and social media that you own or control, provided you follow Section 7 (Prohibited Conduct).
4. Commission
Commission is calculated on the net subscription value (excluding VAT, taxes, and any third-party transaction fees) of qualifying purchases made by customers you refer.
Monthly subscription plans: 30% recurring commission for 12 months from the referred customer’s first payment. After 12 months, no further commission accrues on that customer.
Annual (yearly) subscription plans: 30% commission, subject to a maximum of USD 400 per referred customer. Once total commission paid for a customer reaches this cap, no further commission accrues for that customer.
Add-on and one-time products (including X / Twitter post credit packs): no commission is paid on one-time or add-on products. Commission applies only to base subscription plans.
We may change commission rates, structures, caps, and durations at any time on a going-forward basis. Changes do not affect commission already accrued before the change takes effect. The rates shown in your affiliate dashboard at the time of a qualifying sale govern that sale.
5. Approval, Holding Period, and Payout
Holding period. Each commission is held for 30 days before becoming eligible for payout. This allows time for refunds, chargebacks, and cancellations to be accounted for.
Refunds, chargebacks, and cancellations. If a referred customer refunds, charges back, or otherwise reverses a qualifying purchase, the related commission is cancelled (clawed back). If it was already paid, we may deduct it from future commissions.
Payout threshold. Commissions are paid once your eligible, approved balance reaches the minimum payout threshold of USD 50. Balances below the threshold roll over until the threshold is met.
Payment. Payouts are made on our standard schedule through our affiliate platform, by the methods offered there. You are responsible for keeping valid payment details on file.
6. Anti–Self-Dealing
The Program rewards you for referring genuine, independent, new third-party customers. You may not earn commission on:
- Purchases made by you, for your own account(s).
- Purchases made by businesses, entities, or accounts that you own, control, operate, or are affiliated with, or that are owned or controlled by your immediate family or business partners.
- Purchases where you (or someone acting on your behalf) are the customer or beneficiary, regardless of which email, business name, or payment method is used.
- Purchases arranged primarily to generate commission rather than from genuine independent demand.
Commission earned in breach of this Section is void. We may withhold or claw back such commission, and repeated or deliberate breaches are grounds for termination and forfeiture of your entire balance.
7. Prohibited Conduct
You must not:
- Bid on our brand terms. Do not run paid search or other paid ads on “SomePoster”, “someposter.ai”, common misspellings, or confusingly similar terms, and do not use our brand in ad copy or display URLs without our written permission.
- Impersonate us or imply you are SomePoster, an official representative, or that you speak on our behalf.
- Make false or misleading claims about SomePoster, its features, pricing, results, or guarantees.
- Spam. Do not promote your link through unsolicited email, unsolicited messaging, comment spam, or any method that violates anti-spam laws (including GDPR/ePrivacy and CAN-SPAM).
- Cookie-stuff or force clicks, use misleading redirects, fake reviews, fake accounts, bots, or any artificial method to inflate clicks or referrals.
- Use coupon, deal, or trademark-infringing tactics that we have not authorized.
- Offer unauthorized cashback, rebates, or incentives to customers to use your link.
- Promote on sites or in contexts containing illegal, adult, hateful, or otherwise objectionable content.
- Register domains, social handles, or app names containing our brand.
We may require you to disclose your affiliate relationship to your audience where the law requires it (e.g. FTC, EU consumer rules). You are responsible for making any legally required disclosures.
8. Intellectual Property
We grant you a limited, non-exclusive, revocable licence to use our name, logo, and approved marketing materials solely to promote SomePoster under this Agreement. You must use them as provided, without alteration, and stop using them immediately if we ask or if this Agreement ends. This licence grants you no ownership and no other rights in our intellectual property.
9. Relationship of the Parties
You are an independent contractor. Nothing in this Agreement creates an employment, partnership, agency, or joint-venture relationship. You have no authority to bind us, make commitments on our behalf, or incur any expense for us.
10. Term and Termination
This Agreement starts when you are approved and continues until terminated.
Either party may terminate at any time, for any reason, with or without notice. We may suspend or terminate your participation immediately, and withhold or forfeit unpaid commissions, if we reasonably believe you have breached this Agreement — including the anti–self-dealing or prohibited-conduct sections — or have engaged in fraud or activity that harms us or our customers.
On termination: your licence to use our materials ends immediately, you must stop using your referral links and our brand, and any commission validly accrued and not in dispute will be paid at the next scheduled payout once it meets the threshold (subject to clawback rights). Commissions tied to breach or fraud are forfeited.
11. Changes to the Program and this Agreement
We may modify, suspend, or discontinue the Program, or change this Agreement, at any time. We will make reasonable efforts to notify Affiliates of material changes. Your continued participation after a change takes effect means you accept it. If you do not accept a change, your remedy is to leave the Program.
12. No Guarantee
Participation does not guarantee any minimum referrals, commission, or earnings. The Program is provided “as is”. We do not guarantee uninterrupted tracking, and while we work to track accurately, we are not liable for referrals lost due to customer browser settings, ad blockers, cookie rejection, technical failures, or factors outside our reasonable control.
13. Limitation of Liability
To the fullest extent allowed by law, our total liability to you under this Agreement is limited to the total commissions properly payable to you in the three (3) months before the event giving rise to the claim. We are not liable for indirect, incidental, or consequential losses, including lost profits or lost opportunities.
14. Indemnification
You agree to cover our reasonable costs (including legal fees) arising from your breach of this Agreement, your promotional methods, your content, or your violation of any law or third-party right.
15. Governing Law and Disputes
This Agreement is governed by Danish law. Disputes that cannot be resolved informally will be handled exclusively by the courts of Copenhagen, Denmark, except that we may seek injunctive relief in any appropriate jurisdiction to protect our intellectual property or confidential information.
16. General
If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign this Agreement without our written consent; we may assign it freely. This Agreement, together with our Terms of Service and Privacy Policy, is the entire agreement between us regarding the Program.
